If you also changed pass on mysql - you must be sure to correct this in AuthorizeDB.cfg inside ACC server folder.
So like Apoxdeath wrote and i agree:
- check mysql if its runing
- check if database is the same as set in your config files
- check if its correct pass and login and update your config files
- check AuthorizeDB.cfg very carefull! its important file and most frequent reason why ACCserver dont wanna start ;)

About shell.dat - agree but this influence MSGserver ;)

Another thing i found out that will stop the acc. server from running. Is go into your wamp if ur using wamp or anywhere you got the mysql folder. Click on bin this folder is where the winmysqladmin is stored. Ok now click on the mysqladmin, mysqld, mysqld-max, mysqld-max.nt, mysqld-nt, mysqld-opt, mysqldump and then process once all these are done then open the Winmysqldamin and make sure you deleted the my.ini folder out of ur window folder. If you did delete it once you start the winmysqladmin will ask for username and password. Just a helpfully advice the shell.dat file will not stop the acc server from running. If you cont. to need help please add me to msn [Only registered and activated users can see links. Click Here To Register...] and i will asset you in the help you need.

Yes like Soulerman said check your AuthorizeDB.cfg file located in ur ACCserver folder

If it looks like this
127.0.0.1 root test my account name password id
count_stat server_name status
127.0.0.1 test 4871344843773d3d111 my

well change it to this
127.0.0.1 root test my account name password id
count_stat server_name status
127.0.0.1 root 4871344843773d3d111 my

that might fix that problem to.
